These Terms of Service ("Terms") govern access to and use of the DojoAccess software application, website, and related services (collectively, the "Service") provided by Bitbox OÜ ("Bitbox," "we," "us," or "our"). DojoAccess is a dojo and martial arts school management application.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Eligibility

You must be at least 18 years old to register for an account. If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian.

By using DojoAccess, you represent and warrant that you meet these eligibility requirements. If you are a parent or legal guardian permitting a person under 18 ("Minor") to use the Service, you agree to: (i) supervise the Minor’s use of the Service; (ii) assume all risks associated with the Minor’s use of the Service; and (iii) be bound by these Terms on behalf of the Minor.

3. Description of the Service

DojoAccess provides tools for managing martial arts schools and dojos, including but not limited to:

  • Student and member records
  • Attendance tracking
  • Scheduling and class management
  • Billing, payments, and subscriptions (if enabled)
  • Communications and notifications

The Service is hosted on servers located in the European Union and operated in compliance with applicable EU data protection standards, including the General Data Protection Regulation (GDPR).

Features may change, be added, or removed at any time at Bitbox OÜ’s discretion.

4. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential

You are responsible for all activities that occur under your account. Bitbox OÜ is not liable for any loss or damage resulting from unauthorized access to your account.

5. Subscriptions, Fees, and Payments

Some features of DojoAccess may require payment.

  • Fees, billing cycles, and payment terms will be disclosed at the time of purchase
  • All fees are non-refundable unless otherwise stated in writing
  • We may change pricing with reasonable advance notice

Failure to pay applicable fees may result in suspension or termination of access to the Service.

6. User Content and Data

6.1 User Content

You retain ownership of all data, content, and information you submit to the Service ("User Content").

By using the Service, you grant Bitbox OÜ a non-exclusive, worldwide, royalty-free license to host, store, process, and display User Content solely for the purpose of providing and improving the Service.

6.2 Data Responsibility

You are solely responsible for:

  • The accuracy of User Content
  • Ensuring you have all necessary rights and consents (including from students, parents, or guardians)
  • Compliance with applicable privacy and data protection laws

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service or servers
  • Attempt unauthorized access to systems or data
  • Upload malicious code, viruses, or harmful content

Bitbox OÜ reserves the right to investigate and take appropriate action against violations.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, messaging providers).

Bitbox OÜ is not responsible for third-party services, content, or practices. Your use of third-party services is governed by their respective terms and policies.

9. Intellectual Property

The Service, including all software, trademarks, logos, and content (excluding User Content), is owned by Bitbox OÜ or its licensors and is protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

10. Confidentiality

Any non-public, proprietary, or confidential information disclosed through the Service must not be disclosed to third parties without prior written consent, except as required by law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

BITBOX OÜ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITBOX OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

BITBOX OÜ’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BITBOX OÜ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR €100 EUR, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bitbox OÜ, its members, managers, employees, and affiliates from any claims, damages, liabilities, losses, and expenses arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party

14. Physical Activity Disclaimer

The Service allows for the booking and management of martial arts and physical training activities. You acknowledge that participation in such activities involves inherent risks of physical injury, disability, or death.

Bitbox OÜ is a software provider and does not organize, supervise, or control these activities. We are not liable for any injuries, accidents, or damages that occur at Dojos or during classes managed through the Service. You explicitly release Bitbox OÜ from any liability related to your participation in physical activities.

15. Termination

We may suspend or terminate your access to the Service for any reason, including violation of these Terms. For terminations not resulting from a breach of these Terms, we will provide you with 30 days' advance notice to allow you to retrieve your data. During the notice period, you may export your User Content using the tools provided in the Service.

Upon termination of your account, your right to use the Service will cease. Sections that by their nature should survive termination will survive.

16. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to conflict of law principles.

Any legal action shall be brought exclusively in the courts located in Estonia.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

18. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Bitbox OÜ regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
  • Waiver: Failure to enforce any right shall not constitute a waiver.
  • Assignment: You may not assign these Terms without prior written consent. Bitbox OÜ may assign freely.
